MesHr Terms and Conditions

Welcome to MesHr, a cloud-based payroll and HR management platform provided by Mesh Coverage Resources Ltd., a company registered in Nigeria (“MesHr”, “we”, “our”, or “us”).

These Terms and Conditions (“Terms”) govern your access to and use of the MesHr platform (“Service”). By using our Service, you agree to these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. 1. Use of the Service

1.1 Eligibility: You must be at least 18 years of age and legally authorized to form binding contracts under Nigerian law.

1.2 Account Registration: You agree to provide accurate, complete, and updated information. You are responsible for safeguarding your login credentials.

1.3 Permitted Use: You agree to use the Service only for lawful payroll and HR purposes, in compliance with applicable Nigerian laws and regulations.

1.4 Prohibited Use: You may not:

Use the Service for unlawful activities;
Attempt to reverse engineer or decompile the software;
Share your credentials or permit unauthorized access.

2. Data Protection and Privacy

MesHr is committed to protecting your data. Our data handling complies with the Nigeria Data Protection Act (NDPA) 2023 .

Data Ownership: You retain ownership of all data you upload to the platform, including employee data, payroll records, and other business information (“Customer Data”).
Data Usage: By using the Service, you grant MesHr a limited license to use Customer Data strictly for the purposes of delivering and improving the Service. We will never sell or rent your data.
Confidentiality: We maintain strict technical and administrative safeguards to protect your information. Access is limited to authorized personnel under confidentiality agreements.
Third-Party Processors: Where we use third-party processors (e.g., for cloud hosting or payment services), we ensure they comply with Nigerian data protection standards.
Data Retention: We retain Customer Data as long as your account is active or as required to comply with legal obligations. Upon termination, data may be permanently deleted after 30 days unless otherwise required by law.

3. Fees and Payment

3.1 Subscription: MesHr operates on a subscription-based pricing model. Fees depend on the number of employees you have.

3.2 Payment Terms: You agree to pay all applicable fees by the due date. Failure to pay may result in suspension or termination of your account.

3.3 Taxes: All fees are exclusive of any applicable VAT or other Nigerian taxes, which will be added to your invoice as required.

4. Service Availability and Support

4.1 Availability: We aim for 99.9% uptime but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance.

4.2 Support: Support is available via [email/whatsapp] from 9:00 AM to 5:00 PM WAT, Monday through Friday (excluding public holidays).

5. Intellectual Property

5.1 Platform Ownership: All software, design, and intellectual property related to MesHr are the sole property of Mesh Coverage Resources Ltd. and protected under Nigerian copyright laws.

5.2 License: We grant you a limited, non-exclusive, non-transferable license to use the Service for internal business purposes only.

6. Termination

6.1 By You: You may terminate your subscription at any time via your account settings or by contacting support. Fees already paid are non-refundable.

6.2 By Us: We reserve the right to suspend or terminate your access if you violate these Terms, fail to pay fees, or engage in fraudulent or unlawful activity.

6.3 Post-Termination: Following termination, your access will be disabled. You may request data export within 30 days.

7. Disclaimer and Limitation of Liability

7.1 Disclaimer: The Service is provided “as is.” We make no warranties of any kind, whether express or implied, including fitness for a particular purpose.

7.2 Limitation of Liability: To the extent permitted by Nigerian law, MesHr is not liable for any indirect, incidental, or consequential damages, including loss of data or profits.

8. Indemnity

You agree to indemnify and hold harmless MesHr from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

9. Changes to Terms

We may update these Terms from time to time. You will be notified of significant changes via email or on the platform. Continued use after changes become effective constitutes your acceptance.

10. Governing Law

These Terms shall be governed by and interpreted under the laws of the Federal Republic of Nigeria. Any dispute shall be subject to the exclusive jurisdiction of the courts in Lagos State, Nigeria.
